CEIVA "GOT A WISH" SWEEPSTAKES OFFICIAL RULES

1. NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING.
2. ENTRY PERIOD: The "Got A Wish" Sweepstakes (the "Sweepstakes"), sponsored by CEIVA Logic Inc., (the "Sponsor"), begins on November 26, 2008, at 12:00:00 a.m. Pacific Time ("PT") and ends on December 24, 2008, at 11:59:59 p.m. PT (the "Entry Period"). For the purposes of determining daily entry pools, each individual day of the Entry Period begins at 12:00:00 a.m. PT and ends at 11:59:59 p.m. PT. Sponsor's server is the official timekeeping device for the Sweepstakes.
3. ELIGIBILITY: This Sweepstakes is open to any individual who is 18 years of age or older at the date of entry and is a legal resident of one of 50 United States or the District of Columbia (excluding Guam, Puerto Rico, and all other U.S. territories and possessions) (the "Eligibility Area"). Employees, officers, directors and agents (and their immediate families and household members regardless of where they live, or members of the same households [whether related or not]) of Sponsor, its promotional partners, and their respective parents, divisions, affiliates, subsidiaries, agents, and advertising/promotion agencies (collectively "Sweepstakes Entities") are not eligible to participate in the Sweepstakes or to win any prize. VOID OUTSIDE OF THE ELIGIBILITY AREA AND WHERE PROHIBITED OR RESTRICTED BY LAW. All federal, state and local laws and regulations apply.
4. TO ENTER: Access www.SitonSantasLap.com (the "Sweepstakes Site") during the Entry Period and follow instructions to participate in a brief interactive demonstration (the "Demo") where you will upload a digital photograph of yourself (or use a free default photo supplied by Sponsor) and learn about the unique qualities of CEIVA photo frames. Once you have completed the Demo, follow instructions to access the Sweepstakes entry page, provide all requested information, then click the "Submit" button to transmit your entry so it is received by Sponsor's server no later than December 24, 2008, at 11:59:59 p.m. PT. Entries will be disqualified if they are late, incomplete, and/or in excess of the stated entry limits. Entries are valid only for the drawing for the day on which they are received; see Section 8 below for further details. Limit one entry per person/email address per day.
5. PHOTO REQUIREMENTS: Digital photographs submitted during the Demo ("Photos"): [a] must depict the entrant only; [b] must be in .jpg, .gif, .tiff, or .png format only; and [c] may not exceed 5MB in file size. Photos may not contain any copyrighted elements (including, without limitation, logos, company names, or images) owned by a third party. Submitting a Photo that is deemed by Sponsor in its sole discretion to violate the rights of any third party or to be immoral, obscene, profane or not in keeping with Sponsor's image will result in disqualification.
6. INDEMNITY: You agree to indemnify and hold the Sweepstakes Entities harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Sweepstakes Entities due to or arising out of your Photo or your conduct in connection with this Sweepstakes, including but not limited to: claims for trademark infringement; copyright infringement; violation of an individual's right of publicity or right of privacy; harassment or defamation.
7. SPONSOR'S RIGHT TO PHOTOS: By uploading a Photo, you grant the Sponsor the right to incorporate your Photo into your individual Demo, and into any "forward-to-a-friend" demonstrations you choose to send to others. By submitting a Photo, you forever waive any rights of copyrights, trademark rights, patent rights, privacy rights, and any other legal or moral rights that may preclude the Sponsor's use of the Photo for such purposes, or require your permission for the Sponsor to use the Entry for such purposes. By submitting a Photo, you further agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against the Sponsor, or any other person, on the grounds that any use of the Photo infringes any of your rights, including, without limitation, copyrights, or moral rights. Nothing herein shall constitute an employment, joint venture, or partnership relationship between you and the Sponsor. In no way are you to be construed as the agent or to be acting as the agent of the Sponsor.
8. RANDOM DRAWINGS/PRIZES: On or about January 12, 2009, an independent judging organization will determine the winners by conducting separate random drawings from among the eligible entries received for each day of the Entry Period. Entries are valid only for the drawing for the day on which they are received. Entries will not be carried forward to subsequent days' drawings. Twenty-Nine (29) prizes will be awarded, one for each day of the Entry Period. Each prize consists of $500 awarded in the form of a check made payable to the winner. No prize transfer. No prize substitution except by Sponsor due to unavailability, in which case a prize of comparable or greater value will be awarded. Taxes on prizes and any expenses not specified herein relating to acceptance and use of prizes are sole responsibility of winners. Limit one prize per household/address. Total value of all prizes is $14,500.
9. WINNER NOTIFICATION/ODDS: Potential winners will be notified by e-mail, mail and/or telephone. At Sponsor's sole discretion, potential winners may be required to complete a notarized affidavit of eligibility, a liability release and (where legal) a publicity release, which must be returned within time period specified in potential winner's notification letter. Any failure to timely return required documents, noncompliance with the terms of these rules or the return of any prize or prize notification as undeliverable will cause prize to be forfeited and the prize to be awarded to an alternate winner, pending verification of eligibility. Odds of winning depend on the number of eligible entries received for each day of the Entry Period.
10. GENERAL: Entry information becomes the property of Sponsor and will not be acknowledged or returned. Sweepstakes Entities are not responsible for incomplete, late, lost, misdirected or postage-due entries or mail, or for any technical malfunction, human error, lost/delayed data transmission, omission, interruption, deletion, defect, or line failure in connection with any telephone network, computer equipment, software or any combination thereof. Entries are void if unreadable, inaccurate, incomplete, mutilated, tampered with, forged, mechanically reproduced, irregular in any way, or otherwise not in compliance with these Official Rules. Although Sponsor attempts to ensure the integrity of the Sweepstakes, Sweepstakes Entities are not responsible for the actions of entrants or other individuals in connection with the Sweepstakes, including entrants' or other individuals' attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity, or proper conduct of the Sweepstakes. Sweepstakes Entities are not responsible for injury or damage to entrant's or to any other person's computer(s), other equipment, or person(s), related to or resulting from participation in the Sweepstakes or downloading materials from or using the Sweepstakes Site. In the event of any conflict between any Sweepstakes details contained in these Official Rules and Sweepstakes details contained in any Sweepstakes advertising materials, the details of the Sweepstakes as set forth in these Official Rules shall prevail. If, for any reason, the Sweepstakes is not capable of running as planned by reason of damage by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical limitations or failures, strikes, industry conditions, bankruptcy or liquidation, marketplace demands, applicable law, unforeseen obstacles, or any other causes which, in the sole opinion of Sponsor, could corrupt, compromise, undermine, or otherwise affect the administration, security, fairness, integrity, viability, or proper conduct of the Sweepstakes, Sponsor reserves the right in its sole and absolute discretion to cancel, terminate, modify, or suspend all or any part of the Sweepstakes, and to select winners from among all eligible entries received up to the time of such cancellation, termination, modification, or suspension, as applicable, or to proceed in such a manner as may be deemed fair and equitable by Sponsor in its sole discretion. Screen shots or any other evidence of entry submission will not be deemed receipt of any such entry. Entry must be made by the entrant and via the means described above in Section 4 only. In the event of a dispute regarding the identity of the person submitting an entry, such entry will be deemed to be submitted by the authorized account holder to whom the email address (as declared in such entry) is registered at the time of entry. Use of any device to automate entry is prohibited. You are not a winner until your entry has been verified and you have complied with these Official Rules.
11. RIGHTS OF PUBLICITY: By entering this Sweepstakes, unless prohibited by law, each potential winner consents to use of his/her respective name, voice, photograph and/or likeness for advertising or publicity purposes for this and similar promotions without compensation, and may be required to provide a signed release acknowledging such consent. Moreover, by entering this Sweepstakes, unless prohibited by law, the potential prize winners agree to grant to Sponsor, and its licensees, affiliates, and assigns, the right to print, publish, broadcast, and use, worldwide in any media now known or hereafter developed, including without limitation the World Wide Web, at any time or times, the prize winners' respective name, likeness (actual or simulated), voice (actual or simulated), and biographical information as news or information and for advertising and promotional purposes without additional consideration; and further without such additional compensation, appear for, or provide biographical information for use in, any presentation or other activity which may include filming/audio/video/electronic or other recordings and/or interviews, as may be determined from time to time by Sponsor in its sole discretion.
12. CONDUCT: THESE OFFICIAL RULES WILL BE POSTED AT THE SWEEPSTAKES SITE THROUGHOUT THE ENTRY PERIOD. BY ENTERING AND PARTICIPATING IN THIS SWEEPSTAKES, EACH ENTRANT (AND ENTRANT'S PARENT/LEGAL GUARDIAN IF ENTRANT IS 18 OR OLDER, AS IS REQUIRED FOR ENTRY, BUT NOT OF THE AGE OF MAJORITY IN HIS/HER STATE OF RESIDENCE): (A) FULLY AND UNCONDITIONALLY AGREES TO BE BOUND BY THESE OFFICIAL RULES AND BY ALL DECISIONS OF SPONSOR (WHICH DECISIONS SHALL BE FINAL AND BINDING IN ALL RESPECTS), INCLUDING WITHOUT LIMITATION DECISIONS REGARDING ELIGIBILITY, WINNERS AND THE INTERPRETATION OF TERMS USED IN THESE OFFICIAL RULES; AND (B) REPRESENTS AND WARRANTS THAT ALL INFORMATION PROVIDED BY ENTRANT IN CONNECTION WITH THE SWEEPSTAKES IS TRUE, ACCURATE AND COMPLETE. SPONSOR RESERVES THE RIGHT, AT ANY TIME AND AT ITS SOLE DISCRETION, TO DISQUALIFY AND/OR DEEM INELIGIBLE TO PARTICIPATE IN THIS SWEEPSTAKES OR ANY FUTURE SWEEPSTAKES OR OTHER PROMOTIONS PRESENTED BY SPONSOR, ANY INDIVIDUAL IT SUSPECTS: (A) TO BE TAMPERING WITH THE ENTRY PROCESS OR THE OPERATION OF THE SWEEPSTAKES OR THE SWEEPSTAKES SITE; (B) TO BE ACTING IN VIOLATION OF THE OFFICIAL RULES OR THE SWEEPSTAKES SITE'S TERMS OF SERVICE, PRIVACY POLICY OR OTHER TERMS, CONDITIONS OR GUIDELINES; (C) TO BE ACTING IN BAD FAITH OR IN A DISRUPTIVE MANNER, OR WITH THE INTENT TO ANNOY, ABUSE, THREATEN OR HARASS ANY OTHER PERSON; (D) TO HAVE FAILED TO AGREE TO THESE OFFICIAL RULES; OR (E) TO BE IN VIOLATION OF THESE OFFICIAL RULES. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY INTERNET SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF THESE OFFICIAL RULES AS WELL AS CRIMINAL AND CIVIL LAWS. SHOULD SPONSOR BELIEVE OR BECOME AWARE THAT SUCH AN ATTEMPT HAS BEEN, IS BEING, OR WILL BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY RESPONSIBLE ENTRANT(S) AND OTHER RESPONSIBLE INDIVIDUAL(S) IN THE ATTEMPTED DAMAGE TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING WITHOUT LIMITATION CRIMINAL PROSECUTION.
13. RELEASE AND INDEMNIFICATION: BY ENTERING THE SWEEPSTAKES, ENTRANTS FOREVER AND IRREVOCABLY RELEASE, INDEMNIFY AND HOLD THE SWEEPSTAKES ENTITIES, AND EACH OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AGENTS, SHAREHOLDERS, SUCCESSORS AND ASSIGNS (COLLECTIVELY, "RELEASEES") HARMLESS FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, RIGHTS, CLAIMS, AND ACTIONS OF ANY KIND ARISING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE SWEEPSTAKES, ATTENDANCE OR PARTICIPATION IN ANY SWEEPSTAKES-RELATED ACTIVITY, OR RESULTING DIRECTLY OR INDIRECTLY, FROM THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF ANY PRIZE AWARDED IN CONNECTION WITH THE SWEEPSTAKES, INCLUDING WITHOUT LIMITATION PERSONAL INJURY, DEATH, AND/OR PROPERTY DAMAGE, AS WELL AS CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY AND THE COLLECTION, USE AND/OR SHARING BY SPONSOR OF PERSONALLY IDENTIFIABLE INFORMATION OF THE ENTRANTS.
14. LIMITATION OF LIABILITY: IN NO EVENT WILL RELEASEES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ARISING OUT OF ANY ACCESS TO AND/OR USE OF THE SWEEPSTAKES SITE, THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE SWEEPSTAKES SITE, THE REMOVAL FROM THE SWEEPSTAKES SITE OF, OR DISCONTINUATION OF ACCESS TO, ANY MATERIALS, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF, OR ATTENDANCE OR PARTICIPATION IN, ANY PRIZE AWARDED IN CONNECTION WITH THE SWEEPSTAKES. WITHOUT LIMITING THE FOREGOING, THE SWEEPSTAKES, ALL PRIZES, AND ALL MATERIALS PROVIDED ON OR THROUGH THE SITE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
15. GOVERNING LAW: The Sweepstakes and these Official Rules are governed by and shall be construed in accordance with the substantive laws of the State of California (as distinguished from the choice of law rules) and the United States of America applicable to contracts made and performed entirely in California and where the relevant contacts are with such state. All applicable federal, state, and local laws and regulations apply.
16. MISCELLANEOUS:
    (a) Privacy: Information submitted in connection with the Sweepstakes will be treated in accordance with these Official Rules and Sponsor's Privacy Policy (as may be amended from time to time), currently located at http://www.ceiva.com/home/hp/privacy.jsp provided, that in the event of any conflict between these Official Rules and such Privacy Policy, the terms and conditions of these Official Rules shall prevail. By entering this Sweepstakes, you agree that Sponsor may share your personal information with the Sweepstakes Entities for the purposes of winner determination, verification and/or prize fulfillment.
    
    (b) Severability: Headings: If any provision of these Official Rules is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Official Rules and shall not affect the validity and enforceability of any remaining provisions. Headings and captions are used in these Official Rules solely for convenience of reference, and shall not be deemed to affect in any manner the meaning or intent of these Official Rules or any provision hereof.
